1. Agreement to Terms

Welcome to Leadcentre. These Terms of Service (“Terms”) govern your access to and use of the Leadcentre platform, including our CRM, lead management, pipeline tracking, company and contact management, analytics, and related services (collectively, the “Service”). By signing in, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

Leadcentre is a customer relationship management (CRM) platform designed to help teams manage leads, companies, contacts, and sales pipelines. The Service includes, without limitation:

• Lead management: Creating, updating, and tracking leads through stages (e.g., lead, opportunity, won, lost), with deal values, sources, and service categories.
• Company and contact management: Storing and organizing company and contact records linked to leads.
• Partner collaboration: Assigning lead owners, BD partners, and referral partners so that relevant team members receive notifications and can collaborate on deals.
• Pipeline and analytics: Viewing pipeline summaries, analytics, and reports to support decision-making.
• Integrations: Where configured, email processing, voice leads, calendar and meeting scheduling, and other integrations to support your workflow.

We may add, change, or discontinue features or parts of the Service from time to time. We will use reasonable efforts to notify you of material changes.

3. Accounts and Access

To use the Service, you must have an account. You agree to:

• Provide accurate, current, and complete information when registering or when requested.
• Keep your login credentials (including password and OTP, where applicable) confidential and not share them with others.
• Notify us promptly if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We may suspend or terminate your access if you breach these Terms or if required for security, legal, or operational reasons.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable laws or regulations.
• Upload, store, or share content that is defamatory, harassing, infringing, or otherwise unlawful.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send spam, phishing, or other unsolicited or harmful communications.
• Scrape, copy, or automate access to the Service in a way that exceeds normal use or our documented APIs.
• Resell or sublicense the Service without our prior written consent.

We may remove content or suspend or terminate accounts that we reasonably believe violate these Terms.

5. Your Data and Content

You retain ownership of the data and content you submit to the Service (“Your Data”). By using the Service, you grant us a limited license to use, store, process, and display Your Data as necessary to provide, operate, and improve the Service and to comply with law. Our use of Your Data is also governed by our Privacy Policy.

You are responsible for ensuring that you have the right to provide Your Data to us and that Your Data does not infringe any third-party rights or violate any applicable law.

6. Intellectual Property

The Service, including its design, features, software, and documentation (excluding Your Data), is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service or our branding without our prior written consent. Any feedback or suggestions you provide may be used by us without obligation to you.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We are not responsible for the accuracy, completeness, or legality of data entered by users or for decisions made based on analytics or reports generated by the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE (OR OUR AFFILIATES, LICENSORS, OR SERVICE PROVIDERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Data, your violation of these Terms, or your violation of any third-party rights or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, for breach of these Terms, for non-payment (where applicable), or for any other reason we deem necessary.

Upon termination, your right to use the Service ceases. We may retain Your Data for a reasonable period for backup, legal, or audit purposes, subject to our Privacy Policy and applicable law.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India, unless otherwise required by mandatory law.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. For material changes, we may also notify you by email or through the Service. Your continued use of the Service after the effective date of the changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
